Job Description

  • Prepare the meeting agenda with the Managing Director and relevant senior management
  • Circulate dates of meetings, meetings’ agenda and pack to Board members
  • Take attendance of the Board Directors and ensure quorum is met
  • Draft Board meetings minutes and circular resolutions
  • Relay resolutions passed at the Board meetings to relevant focal points and follow up on the execution of the same.
  • Compile a status update before each Board meeting and provide Board members with the status at each Board meeting
  • Coordinate the appointment/replacement of Board Directors with Shareholders and the Central Bank of Egypt
  • Compile and update an induction pack for new Board directors
  • Advise Directors with respect of their duties and responsibilities
  • Coordinate the annual Board evaluation exercise
  • Update the Bank website with Board resolutions (as applicable) and Board Directors’ data
  • Facilitate inspection of statutory records, minutes of meetings etc. (regulatory inspection, external and internal audits)
  • Act as the focal point for all data related to Board resolutions, minutes and Directors’ data
  • One of the most important aspects of a board secretary’s position is to record the minutes of each board meeting. The secretary records everything that happens during the meeting including what was discussed, what actions were voted on and what actions are being taken as a result
  • Throughout the year the secretary is required to distribute documentation to the board and members as well as complete any legal filings on behalf of the organization on time.
  • The secretary also makes sure that all records are properly and safely stored.

Job Requirements

  • Bachelor Degree preferably in Business Administration, MBA is a plus
  • Minimum of 5 years working experience in similar position preferably in a Bank
  • In-depth understanding and knowledge of financial sector and regulatory
  • Knowledge of corporate governance regulations and related laws
  • Excellent Arabic drafting skills
  • Leadership and decision making qualities
  • People Management skills
  • Strong organizational, project management and execution skills
  • Excellent understanding of the local and global financial services industry and markets
  • Legal and regulatory knowledge
  • Attention to detail and thorough approach
  • Good organizational skills
